What's Old, What's New?
Pro2Net.com Is Re-launched by KeepSmart as SmartPros.com

HAWTHORNE, NEW YORK, June 15, 2001 (SmartPros) After completing the acquisition of Pro2Net's assets late last month, KeepSmart is re-launching the well-known, predominantly accounting focused Web site, under the name SmartPros. The acquisition is a major event in the e-Learning space for corporate and public accounting. While Pro2Net focused mainly on "skills-based" courses (over 500 courses and 2000 hours), KeepSmart's Financial Management Network and CPA Report, industry leading products available both on video and web-based, are monthly "update" subscription programs.

"By providing both 'skills-based' and update CPE programs for continuing education, we will be able to provide the widest range of services to our clients, and the broader community of accountants and financial managers we serve," said Dr. William Grollman, President of KeepSmart. The portal and Professional Education Centers provide the access points and the learning customization that are in demand today by the Fortune 1000 companies and major CPA Firms.

The SmartPros website will be announcing new programs and services shortly. For more details on events relating to KeepSmart, you can visit their website at www.keepsmart.com. KeepSmart will also be offering past clients and customers of Pro2Net a way to continue or renew their service with an enhanced package including the popular FMN and CPAR monthly programs.

Allen Greene, who came on as CEO of KeepSmart in April of this year, said, "We see this as a win, win, win for everyone. KeepSmart adds the stability and legacy of 20 years of continuing professional education, the new portal SmartPros gives us a library of CPE content and an editorial staff for current content relevant to the financial and accounting community, and the customer gets both at a tremendous cost-to-value ratio."

For now, the SmartPros portal will focus on accounting and financial management continuing education, news and editorial, and will update services and information relevant to the practitioner in public accounting and corporate financial management. SmartPros and KeepSmart will continue to develop relationships with associations and organizations serving these fields.

While Pro2Net and KeepSmart had agreements and partnerships with many of the same prestigious organizations such as the IMA (Institute of Management Accountants) and John Wiley & Sons, the acquisition greatly expands KeepSmart’s distribution alliances. KeepSmart serves other vertical markets including Engineering and Law. These verticals and perhaps others will be added to and delivered via the SmartPros portal.

About Pro2Net:
From 1995 to 1999 Pro2Net operated as AccountingNet.com, and was one of the first vertical learning portals, originally focused on accounting and finance. Through additional rounds of financing, Pro2Net went through major expansion and re-branding in 2000. The portal grew impressively, but was hit hard by economic conditions and the venture funding market in 2000 and 2001. When the company shut down its operations in March of 2001, it featured over 100,000 subscribers, over a million pages of primarily accounting content, and, on average, 200,000 visits to the site monthly.
